1. Acceptance of Terms

Welcome to The Solutions Lab ("TSL," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, services, and any related software, hardware, or engineering solutions we provide (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

We reserve the right to modify these Terms at any time. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

2. Description of Services

The Solutions Lab is a Saudi-based technology and engineering studio specializing in:

  • Mission-critical software development and systems architecture
  • Hardware integration and embedded systems
  • Complex systems engineering and infrastructure design
  • Technical consulting and advisory services
  • Custom technology solutions for enterprise and government clients

Our Services are provided on a project basis, subject to separate written agreements or statements of work that incorporate these Terms.

3. Eligibility

Our Services are intended for business and organizational use. By using our Services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal authority to enter into these Terms on behalf of yourself or the organization you represent
  • Your use of the Services complies with all applicable laws and regulations

4. Client Obligations

When engaging with our Services, you agree to:

  • Provide accurate, complete, and timely information and requirements
  • Cooperate with our team and provide necessary access, resources, and approvals
  • Make timely payments according to agreed-upon terms
  • Comply with all applicable laws, regulations, and industry standards
  • Not use our Services for any unlawful, fraudulent, or malicious purposes
  • Maintain the confidentiality of any credentials or access we provide

5. Intellectual Property Rights

Our Intellectual Property

All content, materials, methodologies, tools, frameworks, and technology provided through our Services, including but not limited to software, documentation, designs, trademarks, and proprietary processes, are owned by or licensed to TSL and are protected by intellectual property laws.

Client Intellectual Property

You retain all rights to your pre-existing intellectual property, data, and confidential information that you provide to us ("Client IP").

Work Product

Ownership of deliverables and work product created specifically for you under a project engagement will be addressed in the applicable statement of work or project agreement. Unless otherwise specified in writing:

  • Custom-developed solutions become your property upon full payment
  • TSL retains rights to reusable components, tools, and methodologies
  • TSL may use project results as portfolio examples unless confidentiality agreements specify otherwise

6. Confidentiality

We understand the sensitive nature of mission-critical systems and handle all client information with strict confidentiality. Both parties agree to:

  • Maintain the confidentiality of all proprietary and sensitive information
  • Use confidential information solely for the purpose of providing or receiving Services
  • Implement appropriate security measures to protect confidential information
  • Return or destroy confidential information upon request or project completion

Specific confidentiality obligations may be further detailed in separate Non-Disclosure Agreements (NDAs) or project contracts.

7. Payment Terms

Fees for our Services will be specified in project proposals, statements of work, or invoices. Unless otherwise agreed:

  • All fees are quoted in Saudi Riyals (SAR) or US Dollars (USD)
  • Payment terms are net 30 days from invoice date unless specified otherwise
  • Late payments may incur interest charges as permitted by law
  • We reserve the right to suspend Services for overdue payments
  • All fees are non-refundable unless otherwise specified in writing

8. Warranties and Disclaimers

Our Commitment

We warrant that our Services will be performed in a professional and workmanlike manner, consistent with industry standards. We will use commercially reasonable efforts to deliver Services that meet agreed-upon specifications.

Disclaimer

EXCEPT AS EXPRESSLY SET FORTH IN A WRITTEN PROJECT AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, error-free, or completely secure. You acknowledge that technology projects involve inherent risks and uncertainties.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • TSL's total liability arising from or related to the Services shall not exceed the total fees paid by you for the specific Services giving rise to the liability during the twelve (12) months preceding the claim
  • TSL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption
  • These limitations apply regardless of the legal theory of liability and even if TSL has been advised of the possibility of such damages

Some jurisdictions do not allow certain liability limitations, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless TSL, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Client IP or materials provided to us

11. Term and Termination

These Terms remain in effect while you access or use our Services. Either party may terminate a project engagement as specified in the applicable project agreement.

We reserve the right to suspend or terminate your access to our Services immediately if:

  • You breach these Terms or any project agreement
  • You fail to make required payments
  • Your actions pose security or legal risks
  • Required by law or regulatory authorities

Upon termination, you must cease using our Services and return or destroy any confidential information. Provisions that by their nature should survive termination will remain in effect.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or network failures.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or our Services shall be resolved through:

  • Good faith negotiations between the parties
  • If negotiations fail, binding arbitration in accordance with the rules of the Saudi Center for Commercial Arbitration
  • Arbitration shall take place in Al Khobar, Saudi Arabia
  • The arbitration award shall be final and binding

14. Export Control

You acknowledge that our Services, including software and technical data, may be subject to export control laws and regulations. You agree to comply with all applicable export control laws and will not export, re-export, or transfer our Services to prohibited countries, entities, or persons.

15. General Provisions

Entire Agreement

These Terms, together with any project agreements, statements of work, and other written agreements, constitute the entire agreement between you and TSL regarding the Services.

Amendments

We may update these Terms from time to time. Material changes will be communicated to active clients. Continued use of Services after changes constitutes acceptance.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any affiliate or successor entity.

No Agency

Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and TSL.
